You may not use any service provided by TheXYZStore to misrepresent your identity, impersonate individuals or entities, or create false account credentials (including but not limited to email verification, account farming, or identity spoofing).

Identity Verification

We reserve the right to request identity verification or additional documentation at any time, especially in cases of suspected fraud, abuse, or chargebacks. Failure to provide such documentation may result in suspension or termination of service.

Legal Use Requirement

You agree not to use any of our product offerings for purposes that may violate U.S. federal or international laws, including (but not limited to) bypassing regional restrictions, aiding unauthorized access, or participating in spam or phishing.

Compatibility Disclaimer

TheXYZStore makes no guarantees that its services will work with or be permitted by any third-party platforms, websites, or services. Your use of our services is at your own risk in relation to third-party terms of use, including restrictions on automation, scraping, or multi-accounting.

Upstream Suspension Policy

TheXYZStore reserves the right to suspend or terminate any service without prior notice if our upstream providers impose restrictions, remove access, or demand shutdown of resources related to your account.

We are not responsible if information made available on this site is not accurate, complete or current. ‍Service(s) Provided: We will provide You with the Service(s) ordered, as they are described on our website, billing system, or in a custom quote. You understand and agree that TheXYZStore will host and create the Services solely in accordance with the information provided by you. You further agree to use our Services in accordance with this Agreement.  Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and may not be available to return or exchange. Our products and services are subject to return or exchange only according to our Return Policy, which is included in these terms. We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected. XYZStore makes no guarantee that any specific product, server, or proxy type will remain available at any given time.

Accuracy of Billing and Account Information

‍We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. Our partner networks may choose, at any time, to modify, remove or add any new product or service, it is your duty to ask for the most up to date Terms and Conditions.

Products or Services

​Certain products or services may be available exclusively through the stores. These products or services may have limited quantities. We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer.

Acceptable Usage Policy

Prohibited Content

TheXYZStore does not permit any Customer to use TheXYZStore Services for illegal activities, and Customer warrants that it will not conduct, participate in, allow, or facilitate any prohibited activity. Customer agrees not to post, provide, embed, link, or otherwise make available any Customer Content (as defined TheXYZStore Copyright Policy) that:

i. infringes on any third party’s intellectual property or publicity/privacy rights;

ii. violates any applicable law or regulation;

iii. involves deceptive or fraudulent activities;

iv. is defamatory, violent, clearly harmful, or obscene or infringes on citizens’ rights;

v. contains any viruses, worms, Trojan horses, time bombs, cancelbots, port scanning, stress testing, IP spoofing, Phishing, or other computer programming routines that are intended to

vi. damage or interfere with any system, data, or personal information;

vii. attempts to harm TheXYZStore servers or other servers in any way (Attacks, CPU intensive programs for no reason, etc);

viii. involves spamming, mail servers, or mass marketing of any kind, or any type of investment/lottery sites;

ix. involves brute force and other vulnerability-checking programs, even if for security purpose;

x. involves traffic exchange/relay websites or Services, including auto surf sites, TOR nodes, open public proxies, and topsites list;

xi. involves mass public file storage of any kind (image hosting site, video hosting site, torrents, etc);

xii. involves high CPU/Bandwidth usage, I/O usage, and network usage, or in any other way disrupting the performance of other customers;

xiii. involves constantly receiving attacks on Customer’s Services or failure to secure Services properly; or

xiv. involves crawling/scraping, loading an excessive number of websites, or running web macro plugins/scripts.

xv. involves running a program/script that is designed to use maximum CPU (such as cryptocurrency miners) and not a general fixed amount equal or lesser to the processing power assigned to your service.

TheXYZStore shall have the sole discretion in determining what Customer Content is acceptable, and reserves the right to refuse any other subject matter it deems inappropriate. In the event that any damages are caused by Customer’s violation of this provision, Customer agrees to be liable for all costs associated with reversing the damages. Customers agrees to comply with all applicable U.S. and national laws. Customer agrees to hold harmless and indemnify TheXYZStore of any and all liabilities that may arise, either directly or indirectly, with Customer’s performance or non-performance in connection with this Agreement.

Abuse Mitigation Policy

XYZStore reserves the right to suspend or terminate service to users whose usage patterns suggest abuse, fraud, or violation of applicable laws, at our sole discretion, even if we do not maintain usage logs or access data directly.

Circumvention Prohibited 

Customer agrees not to circumvent, abuse, or attempt to circumvent or abuse TheXYZStore security measures and/or billing system. This includes, but is not limited to creating multiple billing accounts for the same Customer or from the same household, using multiple accounts to deposit funds exceeding the amount of funds permitted, creating a billing account for someone other than Customer, or abusing bugs in TheXYZStore system. Any abuse will result in account closure and immediate Service termination, without refund. TheXYZStore does not honor any pricing mistakes on their website and reserves the right to cancel such orders.

Mass-mailing Prohibited

 TheXYZStore does not permit any type of mass mailing on our servers, and Customers running these types of scripts are subject to Suspension and/or Termination at TheXYZStore discretion. If Customer wants to run a legitimate mail-server or send large amounts of emails in a non-spam manner, Customer must request TheXYZStore pre-approval for the expected volume of mail Customer seeks to disseminate.

High Usage Policy

Any usage by Customer that disrupts the overall performance of our server(s) is not permitted. Customer agrees to operate within the TheXYZStore usage parameters, which are as follows:

High CPU

Customer’s Service cannot burst to 95-100% usage for more than five (5) minutes and cannot average higher than 50% usage within any two (2) hour period. Packages advertised to include dedicated CPU, Services with the high CPU option, and any customized Service plans that include high CPU option may burst to 100% at all times.

High Load

Customer’s Service cannot have a 15-minute load average higher than the number of full logical cores assigned and cannot have a 1-day load average higher than 70% of the number of full logical cores assigned.

High Mail Volume 

TheXYZStore reserves the right to block port 25 on Customer’s Service. Customer cannot send more than 100 maximum e-mails per hour, and must maintain a similar average volume of mail on a week-to-week basis—no bursting permitted. TheXYZStore reserves the right to waive this requirement for the purpose of a customized Service plan.

High I/O

Customer’s Service cannot average more than 80 IOPS within any two (2) hour period, cannot burst above 300MB/s disk write average for more than ten (10) minutes, cannot average more than 300 write operations per second for more than 1 hour, and cannot be above 20% average utilization within any six (6) hour period.

High Network Usage

Customer’s Service cannot have more than 50,000 contract sessions at any given time, and cannot use more than the allocated bandwidth. Customers understand that the network is shared and utilizing maximum network speed will not always be possible.

TheXYZStore reserves the right to deprioritize Customer’s Service(s) at any time in order to avoid congestion and/or disrupting the performance of other customers, which may directly affect the performance of Customer’s Service.

TheXYZStore is not responsible for failure to keep a back-up and is not responsible for data corruption or data loss if a back-up is available.

Customer Support

TheXYZStore, either directly or through its assignee or licensee, will provide support to you relating to TheXYZStore. Any support which TheXYZStore may provide to you shall be at TheXYZStore’s sole discretion and once commenced, may be terminated at any time by TheXYZStore without notice to you and without any liability to us. We will provide reasonable technical support via their ticket system to you during TheXYZStore normal technical support hours. Notwithstanding any discretionary provision of customer support, we have no contractual obligation beyond maintaining basic server function. TheXYZStore will keep your functional and will address your support tickets within a reasonable response time. Under no circumstances shall you treat any agent or member of TheXYZStore with abuse or disrespect. TheXYZStore reserves the right to suspend or terminate support and or service due to foul language, abuse, or harassment.

Abuse Policy: You acknowledge that any prohibited activity as described in these Terms and the Agreement may result in immediate cancellation/termination without refund or notice. However, at our discretion, we will generally follow the guidelines below:

  • First offense: You contacted; abuse report sent — response required within 24 hours or suspension;

  • Second offense: Your Service suspended; You must contact TheXYZStore to appeal abuse report;

  • Third offense: You account closed — all Services will be suspended and terminated.

If the abuse report is from a third party we may or may not require system logs or other evidence of the incident. However, we understands that the legitimacy of these reports are sometimes questionable. We urge you to respond in a timely manner so that we can assess each case before making a decision regarding Termination or Suspension. We retain the discretion to charge you, and you agrees to pay, a $25 administration fee associated with any Suspension or Termination, which may automatically be charged to your account. Third party reports or requests will be subject to our Terms of Service, Copyright Policy and Privacy Policy. If we receive an abuse complaint from an upstream provider or detect prohibited activity, we may suspend or terminate your access without notice.

Disclaimer of Warranties and Indemnification

​You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.

​The Service and all products and services delivered to you through the Service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a purpose, durability, title, and non-infringement.

​In no case shall TheXYZStore, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

​You agree to indemnify and hold harmless TheXYZStore and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees against any and all claims, suits or actions of any kind whatsoever for liability, damages, compensation brought by you as a result of personal injury on the property of TheXYZStore.

​You agree to indemnify, defend and hold harmless TheXYZStore and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. Customers agree to indemnify XYZStore for any legal action, damages, or regulatory penalties resulting from misuse of any of its products, including but not limited to violations of third-party platform policies, automation bans, or ticketing rules.

Non-Endorsement

XYZStore does not condone, promote, or support the use of its products or services for scraping, circumventing rate limits, accessing restricted platforms, or engaging in automated activities that violate third-party terms of service. Users are solely responsible for ensuring lawful use. Users are solely responsible for understanding and complying with the terms of any third-party services they access using XYZStore products. XYZStore is not liable for any suspension, termination, or restriction imposed by such third-party services.

Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service and any policies or operating rules posted by us in this store or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

​COPYRIGHT POLICY

Limited License to Content

Customer hereby grants to TheXYZStore the limited, non-exclusive right and license to copy, distribute, transmit, display, perform, create derivative works from, modify, and otherwise use and exploit any of your content, or any of your trademarks, fonts, logos, or other objects or designs provided to TheXYZStore hereunder, solely for the purpose of rendering TheXYZStore Services under this Agreement. Such limited right and license shall extend to no other materials or for any other purpose and will terminate automatically upon termination of this Agreement for any reason.

Rights to the Web Site and Content

With the exception of any Third-Party Materials and Background Technology as set forth below, You own the your content, which means all content and/or information (including, without limitation, any text, music, sound, photographs, video, graphics, data, and/or software), in any medium, provided by you to TheXYZStore. “Third-Party Materials” means any content, software, and/or other computer programming material that is owned by an entity other than TheXYZStore, and licensed by TheXYZStore or generally available to the public, including you, under published licensing terms, and that TheXYZStore will use to display or run a Web site. TheXYZStore owns the rights to the design of the website. If you stop paying the monthly fee for Services, they will be canceled and you will not be entitled to use the website for any purposes whatsoever.

Limited License to the Background Technology

“Background Technology” means computer programming/formatting code or operating instructions developed by or for TheXYZStore and used to host or operate a website or a web server in connection with a website. Background Technology includes, but is not limited to, any files necessary to make forms, buttons, checkboxes, and similar functions and underlying technology or components, such as style sheets, animation templates, interface programs that link multimedia and other programs, customized graphics manipulation engines, and/or menu utilities, whether in database form or dynamically driven. Background Technology does not include any of your content. You may not duplicate or distribute any Background Technology to any third party without the prior written consent of TheXYZStore. All rights to the Background Technology not expressly granted to you hereunder are retained by TheXYZStore. Without limiting the foregoing, You agrees not to reverse-engineer, reverse-assemble, decompile or otherwise attempt to derive any source code of the Background Technology, except as allowed by law.

Digital Millennium Copyright Act 

You agrees not to use TheXYZStore Services or equipment in violation of the copyrights, trademarks, patents, or trade secrets of third parties, nor shall You utilize TheXYZStore Services or equipment to publish such materials in a manner that would expose them to public view in violation of the law. All third-party takedown requests, wherein aggrieved parties ask TheXYZStore to remove your content claimed to infringe intellectual property rights will be addressed in accordance with the Digital Millennium Copyright Act of 1998 (“DMCA”) (17 U.S.C. § 512, et seq.) and other applicable trademark, copyright, patent and/or other intellectual property laws. Aggrieved third parties should notify TheXYZStore of their claim by using the “Contact Us” option on our website, and include information such as IP address or URL of the infringing content as well as any other information to help TheXYZStore verify the third-party allegation.

Cooperation with Legal Authoritie

XYZStore reserves the right to comply with any lawful request from regulatory agencies, law enforcement, or court orders regarding customer usage of services. While XYZStore does not log traffic, it will provide any available customer information (as permitted by law and outlined in our Privacy Policy) if legally compelled.

Your IP Duties 

You affirmatively represents, agrees, and warrants to maintain at all times the necessary intellectual property rights, including, but not limited to, all copyrights, trademark and/or service mark rights and rights of publicity, both in the United States and throughout the world, to reproduce and disseminate, via the Internet, Your content or content which you otherwise promote, advertise, disseminate and/or distribute to anyone by your direct or indirect use of TheXYZStore Services or equipment, prior to and at all periods during the time that such materials are promoted, advertised, disseminated or distributed through any direct or indirect use of TheXYZStore Services or equipment.

Suspension/Termination

TheXYZStore may Suspend performance under or Terminate this Agreement, cease transmission of data associated with your domain name immediately and without notice, permanently remove your data from any TheXYZStore equipment, and take any other actions it deems necessary, in its sole discretion, immediately and without notice, to comply with relevant laws if it is informed or otherwise believes, in its sole discretion, that your content violates the intellectual property rights of any third party or is otherwise the subject of a dispute.  You agree to waive any and all claims, now and forever, against TheXYZStore relating to the your content and/or your use and operation of TheXYZStore Services. You agree to indemnify and hold harmless TheXYZStore from and against any such claims. You Agree that in the event that TheXYZStore is informed by any party that your content infringes the copyright of any party, or violates the right of publicity or privacy of any party, or consists of any other claim or violation of intellectual property rights of any kind, then TheXYZStore may, without prior notice to you and its sole and exclusive discretion, remove and/or disable public access to all or part of your content, and/or terminate this Agreement, without any liability of any kind to TheXYZStore from either you or any third party. Customer agrees to waive any and all claims, now and forever, against TheXYZStore relating to any action taken in response to the claim that you have infringed the intellectual property rights of a third party, and agrees to indemnify and hold harmless TheXYZStore from and against any such claims.

These general terms and conditions apply to any order you place through XYZStore website or any products you purchase from a XYZStore Store.

No Reliance

You acknowledge that you have not relied on any oral or written representation, warranty, or other statement made by TheXYZStore that is not expressly included in this Agreement.

Free Offers

Any Services offered for free as part of another plan are intended for use for that plan only. Customers who resell/transfer such free Services to others are in violation of this Agreement, and TheXYZStore reserves the right to cancel the free offer.

Rate Limiting or Abuse Detection Rights

XYZStore reserves the right to implement automated or manual measures to detect, limit, or block traffic patterns indicative of abuse or policy violations.

Billing and Fees

Agreement to pay:  As consideration for TheXYZStore Services, You agree to be charged upon request and/or use of any TheXYZStore Service(s), including any fees assessed in connection therewith. You agree to pay TheXYZStore the aggregate fees, whether one-time or periodic, in whole, when due, based on the provided Services and terms selected, according to the terms provided herein. Services are provided as they are described and at the price advertised (in US Dollars) on TheXYZStore website. TheXYZStore reserves the right to demand payment in full when due, and does not waive that right in the event of any discretionary deferment.

Fraud Protection: TheXYZStore uses automated fraud protection on all orders, so please enter all billing information correctly. Do not use proxies when ordering, and do not try to mask your identity in any way. Rest assured that the information is used for billing purposes only, subject to our Privacy Policy (https://thexyzstore.com/privacy-policy) . If you trigger the fraud system, you may correct your details and attempt to re-order, but if the issue persists, please contact our support team or await a manual response from our team. All payments may require additional documentation for security purposes, such as photo identification or signature. TheXYZStore reserves the right to deny orders, cancel and refund payments for any reason, at any time, which may result in immediate termination. However, out of courtesy, TheXYZStore may contact Yous to resolve any discrepancies in your payments or documentation or notify You if additional documents are required. XYZStore reserves the right to share user-provided identity information with relevant authorities or upstream providers in response to lawful subpoenas, investigations, or fraud inquiries, to the extent required by applicable law. This includes cases involving abuse, misuse, or fraudulent transactions.

Authorization and Cancellation: By making a payment, You agree that all charges, as well as future charges, are authorized. In the event that a payment is disputed, TheXYZStore may suspend or terminate Service(s) or your account, and you are responsible for covering any losses, in addition to any fees such as charge-back fees, as well as attorneys’ fees.

Recurring Payments: If you sign up for a Service involving recurring payments, you are responsible for canceling Service(s) at a minimum of seven (7) days before the end of the billing term, otherwise an invoice for the next billing term will be generated and due. TheXYZStore automatically captures payments three (3) days before the end of the billing term but reserves the right to do so as soon as seven (7) days before the end of the billing term. Customer permits TheXYZStore to reattempt to capture payment if the first capture attempt fails. Any late captured payments will not prevent Service termination and you must contact TheXYZStore to have your Services manually re-activated or receive store credit. TheXYZStore will not honor any refunds as a result of Customer’s failure, mistake, disregard, or neglect to cancel their subscription in a timely manner. Thus, it is Customer’s responsibility to send in a cancellation request in a timely manner through TheXYZStore automated system by clicking the “cancel” button and completing cancellation. “Cancellation” means that the Service will be fully terminated at the end of the term or selecting cycle, and no invoice will be generated for the next term; therefore, please do not request a cancellation in attempt to disable recurring billing.

Administration Fee: Customer agrees to pay a twenty-five dollar ($25.00) Administration Fee, which will be charged to Customer’s account in the event of the following situations:

i. Any returned payment and/or collections efforts;

ii. Any withdrawal of Customer credits;

iii. Any disputes/holds/chargebacks on payment;

iv. Any suspension or termination due to prohibited account behavior;

v. Any suspension that necessitates manual processing outside our automated system;

vi. Any custom billing administration outside of current TheXYZStore policies;

vii. Any blacklisting caused per IP address;

Suspension and Termination: “Suspension” means Customer cannot use their Service(s), which can be automatically resumed after payment is made. “Termination” means Customer’s Service(s) and associated data are lost forever, with outstanding balance still due. TheXYZStore is not responsible for data loss due to Termination. In the event that Customer does not request to cancel their Services and an invoice is generated, but not paid, it will remain as an invoice and must be paid, even after Termination for failure to pay. This invoice must be paid before Customer can successfully make a new order in the future. Customers may pay the invoice at any time by contacting customer support. Customer is required to pay off any invoices generated. TheXYZStore is not required to remove already-generated invoices for existing Services, as TheXYZStorehas made the cancellation policy very clear.

Invoices: You agree to be charged and make payment immediately when a new invoice is generated. Invoices are generated as soon as a new Service is ordered and automatically seven (7) days before the next billing term for existing Services. If you order a new Service and decides to cancel the order once an invoice is already generated but before payment, TheXYZStore will automatically remove the invoice periodically. However, if you make an error and wants to create a new order immediately, we can clear the erroneous invoice and replace it according to your request. For existing Services, once an invoice is generated, you are required to make the payment before the due date. We will suspend your Service one (1) day after the due date and terminates your Service completely after six (6) days of being overdue.

Refund/Cancellation/Modification Policy

Refund Policy: TheXYZStore has a very strict refund policy. Please read this before purchasing. By purchasing a service you waive your right to a refund. Due to the nature of TheXYZStore Service(s), we do not offer any sort of refund at all, ever. The instant you purchase our Service(s), the resources are reserved and it is completely non-refundable. If you do not completely agree with this refund policy then please do not purchase any type of product or Service from us. TheXYZStore reserves the right to penalize you or suspend your Service(s) for trying to circumvent its refund policy. By purchasing, you agree to waive any right to a chargeback, refund, or credit except where required by law. Refunds will not be provided in cases where service access is restricted, blocked, or blacklisted by third-party platforms or websites due to the user’s behavior, region, or purpose.

Disputes and Chargebacks: Creating a dispute or chargeback against us immediately breaches the terms of this Agreement and gives us the right to suspend or terminate the Service without notice. If your Service(s) are suspended or terminated for breaching these terms you will not receive any refund and are not entitled to one. All products are final sale upon delivery- there are no refunds/exchanges upon delivery receipt. By purchasing any products or services, you agree to these terms that you will not be refunded after the delivery has taken place. 

Collection Efforts: You shall pay all costs of collection, including reasonable attorney’s fees and costs, in the event an invoice requires collection efforts. All accounts referred to a collection agency shall be subject to an additional fee of $25.00, which must be paid in full before the account is reactivated.

​ Currency Fluctuations: International Customers bear the risk of currency fluctuations and any fees or taxes associated with the conversion of foreign currencies into United States Dollars. We reserve the right to withhold Service to international Customers until we are able to receive satisfactory confirmation from such Customer’s payment account provider, in our sole discretion, that the funds will be available for debit from the international Customer’s account. TheXYZStore reserves the right to refuse to provide Service to you if your country provided in the contact information does not match that on file for your billing information.

Neutral Tool Disclaimer

XYZStore provides technical services that are general-purpose in nature. We do not encourage, condone, promote, or endorse the use of our services for any specific automation, circumvention, scraping, or evasion activity.

Contractor Relationship: 

TheXYZStore and Customer are independent contractors and nothing contained in this Agreement expressly or impliedly represents TheXYZStore and Customer as having the relationship of principal-agent, partners, or joint-venturers. Neither Customer nor TheXYZStore has or may represent itself as having, any authority to make contracts in the name of the other party or bind the other party in any manner whatsoever.

Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the state of New York. This Agreement and TheXYZStore policies are subject to change by TheXYZStore without notice. Continued usage of the Services after a change to this Agreement by TheXYZStore or after a new policy is implemented and posted on the TheXYZStore Site constitutes your acceptance of such change or policy. We encourage you to regularly check the TheXYZStore Site for any changes or additions.

Affiliate or Referral Disclaimer

XYZStore is not responsible for representations made by third-party affiliates or referrers. All claims about functionality, compatibility, or legality must be verified independently by the user.

Arbitration

All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of New York or another location mutually agreeable to the parties. Such arbitration shall be conducted on a confidential basis pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Any decision or award as a result of any such arbitration proceeding shall be in writing and shall provide an explanation for all conclusions of law and fact and shall include the assessment of costs, expenses, and reasonable attorneys’ fees. Any such arbitration shall be conducted by an arbitrator experienced in Intellectual property and contract law and shall include a written record of the arbitration hearing. The parties reserve the right to object to any individual who shall be employed by or affiliated with a competing organization or entity. An award of arbitration may be confirmed in a court of competent jurisdiction. You waive any right to bring a class, consolidated, or representative action against TheXYZStore.

Blacklisted Use Cases

Customers may not use our services for any of the following: banking, bulk emailing, scalping restricted event tickets, mass automation of account creation, multi-account farming, or access to regulated financial services, platforms with known anti-proxy policies (e.g., Instagram, Discord), or circumventing anti-bot protections of any kind.

Minimum Age

While there is no minimum age to visit our website or purchase our goods, please be advised that in the case of SIM cards, the majority of the networks have terms and conditions governing the use of their services if you are under 18 years old. We are not responsible for these agreements and advise you to contact your selected network directly with any concerns or questions.

Changes to Terms of Service

Indemnification

You agree to indemnify, defend and hold harmless TheXYZStore and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Severability

​In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

User Responsibility

You are solely responsible for all activities conducted through the services you purchase. You agree not to use any service in violation of applicable laws or regulations, including (but not limited to) those related to unauthorized access, scraping, ticketing restrictions, fraud, or identity misuse. You agree to indemnify and hold harmless TheXYZStore against any legal claims, regulatory actions, fines, penalties, or liabilities resulting from your violation of any local, state, federal, or international laws while using services obtained through us.

No Guarantee of Anonymity

Services such as proxies and servers are not guaranteed to provide anonymity, security, or privacy. Use of such services does not prevent third-party tracking, detection, or enforcement actions. XYZStore makes no warranties as to the effectiveness, stability, privacy, or undetectability of any of its services. Customers use such services at their own risk and are solely responsible for ensuring compliance with relevant site rules, platform terms, and applicable laws.

Right to Refuse Services Without Cause

XYZStore reserves the right to refuse service to any individual or entity at its sole discretion, with or without cause.

Role

TheXYZStore owns and maintains the hardware used for its server hosting services. For other services — including but not limited to proxies — TheXYZStore acts solely as a reseller. We do not operate or control the infrastructure or networks related to those services and have no access to traffic logs or usage data. Some services may be subject to the terms of third-party providers, which you agree to comply with. Some services offered through XYZStore may be provided by third parties. XYZStore does not log, monitor, or audit customer traffic or behavior through any provided service and has no access to upstream activity. Customers agree to hold XYZStore harmless for any claims arising from such use. By purchasing these services, you agree to review and comply with such providers’ terms and conditions, which are available upon request. XYZStore is not responsible for enforcement of or changes to those third-party policies

Assignment

This Agreement and the rights granted and obligations undertaken hereunder may not be transferred, assigned or delegated in any manner by Customer, but may be so transferred, assigned or delegated by TheXYZStore.

Residual Liability
You acknowledge and agree that termination of this Agreement, cessation of use, or sale/transfer of your account or associated rights does not release you from liability or responsibility for any prior breach of these Terms, or any actions, damages, or losses incurred through your use of the Service. This includes, but is not limited to, violations of law, third-party complaints, unpaid invoices, abuse, or contractual breaches that occurred prior to or in connection with such termination or transfer.

User Acknowledgment of Risk

By purchasing, the user acknowledges:

  • That proxies may become blocked by third-party services

  • That speeds, IP locations, or reliability may vary

  • That usage is at the user’s sole risk

Governing Language Clause

In the event of a discrepancy between translated versions of these Terms and the English version, the English version shall prevail.

Severability Clause

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect

Force Majeure Clause

TheXYZStore shall not be liable for failure to perform due to causes beyond its reasonable control, including but not limited to internet outages, acts of God, legal restrictions, or third-party service disruptions.

Jurisdiction Confirmation Clause

You agree that any legal action will take place in the courts of the State of New York, and you consent to the personal jurisdiction thereof.

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
